(Hereinafter referred to as “The Service Provider”)

The User / Merchant
(Hereinafter referred to as “The Merchant”)

Effective Date:

1. PURPOSE

This Agreement establishes the terms and conditions under which Living Word Digital shall provide payment collection, invoicing, and digital business services through the Pesapal payment platform and related systems.

2. SERVICES PROVIDED

Living Word Digital shall provide the Merchant with access to:

  1. Online payment collection services.
  2. Pesapal merchant onboarding and account setup.
  3. Ability to receive payments from customers locally and internationally.
  4. Acceptance of payments through:
    • MTN Mobile Money Uganda
    • Airtel Money Uganda
    • Visa Cards
    • Mastercard
    • Other payment channels supported by Pesapal.
  5. Unlimited invoice generation and delivery.
  6. Automated customer invoicing via email.
  7. Automated payment notifications.
  8. Transaction tracking and reporting.
  9. Monthly payment settlement and withdrawal support.
  10. Online business operation through mobile phones, tablets, and computers.
  11. Customer payment records and sales monitoring.
  12. Technical support during onboarding and account operation.

3. ONBOARDING FEE

  1. The Merchant shall pay a non-refundable annual onboarding and maintenance fee of USD 15.
  2. Payment of the fee does not guarantee approval if the Merchant provides false information or engages in prohibited activities.
  3. Once payment is confirmed and all required information is submitted, onboarding shall normally be completed within twenty-four (24) hours.

4. COMMISSION

  1. The Merchant agrees that Living Word Digital shall retain 10% of all earnings received through the system as a service commission.
  2. Commission shall be deducted before settlement unless otherwise agreed in writing.
  3. Additional charges imposed by Pesapal, banks, mobile money operators, or card providers shall remain the responsibility of the Merchant.

5. PAYMENT SETTLEMENT

  1. Merchant funds shall be processed and settled monthly.
  2. Settlement shall be made to the Merchant’s nominated account or mobile money number.
  3. Settlement dates shall be communicated by Living Word Digital.
  4. Delays caused by payment providers, banks, regulatory authorities, or technical failures shall not constitute a breach of this Agreement.

6. MERCHANT RESPONSIBILITIES

The Merchant agrees to:

  1. Provide accurate registration information.
  2. Operate lawful businesses only.
  3. Deliver goods and services as promised to customers.
  4. Respond promptly to customer complaints.
  5. Maintain updated contact information.
  6. Comply with local laws, tax obligations, and regulatory requirements.
  7. Avoid fraudulent, misleading, or illegal transactions.

7. PROHIBITED ACTIVITIES

The following activities are prohibited:

Living Word Digital reserves the right to suspend or terminate accounts involved in such activities.

8. INVOICING SERVICES

  1. Merchants may generate and send unlimited invoices.
  2. Invoices may be sent electronically to customers.
  3. Customers shall automatically receive payment confirmations upon successful payment.
  4. Merchants shall receive copies of invoices and payment notifications for record-keeping.

9. DATA PRIVACY

  1. Living Word Digital shall take reasonable measures to protect Merchant information.
  2. Merchant information shall not be shared except where required by law, payment processors, or regulatory authorities.
  3. The Merchant consents to the electronic storage and processing of submitted information.

10. LIMITATION OF LIABILITY

Living Word Digital shall not be liable for:

11. TERMINATION

  1. Either party may terminate this Agreement by giving thirty (30) days’ written notice.
  2. The annual fee remains non-refundable.
  3. Outstanding commissions must be cleared before account closure.

12. GOVERNING LAW

This Agreement shall be governed by the laws of the Republic of Uganda and any applicable international electronic commerce regulations.
